These Terms and Conditions (“Terms”) apply to all quotations, orders, and sales of glove box systems, vacuum coating equipment, accessories, and services (collectively “Goods”) by Vacuum Glovebox (“Seller”, “we”, “us”), and to your use of www.vacuumglovebox.com (the “Site”).
1. Applicability
These Terms constitute the entire agreement between the parties. Any different or additional terms on Buyer’s purchase order or other documents are expressly excluded and shall not bind Seller unless agreed in a signed writing by an authorized representative of Seller.
2. Quotations and Orders
Quotations are valid for 30 days. Orders are accepted only upon Seller’s written order acknowledgement. Seller reserves the right to refuse any order. Custom or engineered-to-specification equipment may not be cancelled once production has begun.
3. Prices and Taxes
Unless stated otherwise, prices exclude VAT/GST, customs duties, freight, insurance, and installation costs, all of which are Buyer’s responsibility.
4. Delivery – INCOTERMS
Unless otherwise agreed in writing, delivery is EXW (Ex Works) Seller’s facility per Incoterms 2020. Risk of loss and title pass to Buyer upon delivery to the carrier. Buyer is responsible for all shipping arrangements, import clearance, and associated costs.
5. Acceptance and Inspection
Buyer shall inspect Goods upon delivery and notify Seller in writing of any damage, shortage, or non-conformity within 7 days. Failure to do so constitutes acceptance. Returns require prior written authorization (RMA).
6. Limited Warranty
Seller warrants that equipment manufactured by Seller is free from defects in materials and workfinding for a period of 12 months from the date of shipment. Consumables (gloves, O-rings, filters, purification media), normal wear, improper use, unauthorized modifications, and damage in transit are excluded. Remedy is limited to repair or replacement at Seller’s option. All other warranties, including implied warranties of merchantability or fitness for a particular purpose, are disclaimed to the maximum extent permitted by law.
7. Limitation of Liability
Seller’s aggregate liability shall not exceed the amount paid by Buyer for the specific Goods giving rise to the claim. Seller shall not be liable for indirect, consequential, or incidental damages including loss of data, research results, or production time.
8. Export Control
Buyer agrees to comply with all applicable export/import laws and regulations. Seller may decline any order requiring export licenses not obtainable or if compliance cannot be assured.
9. Force Majeure
Seller is not liable for delay or non-performance caused by events beyond its reasonable control including natural disasters, war, strikes, supply shortages, or government actions.
10. Governing Law
These Terms are governed by the laws of the jurisdiction where Seller’s principal business is registered. Disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
